We have found that 70% of all mergers and acquisitions fail to increase shareholder value within the first two years and, in fact, often erode shareholder value. Furthermore, 70% of the blame can be traced to a lack of effective integration planning and execution. The mission of Step-Change's business integration practice is to help our clients maintain a focus on value, capture synergies, and accelerate the pace of integration to minimize risk and achieve the strategic and financial objectives of the deal. In other words, we make sure our clients are among the 30% that DO increase shareholder value. Step-Change collaborates with medium to large organizations on integrations of acquired companies ($50M to $10B transactions), consolidation of divisions, or divestitures/carve-outs. Our focus is to accelerate the speed of the integration, reduce operating risks and profit erosion, and maximize the business benefits. Step-Change's typical role is to drive the integration effort on behalf of the executive management team through the full life-cycle of the transaction, from acquisition to full integration. We lead organizations in the integration strategy, detailed planning, overall program management, and the functional implementation of the end-state unified business. Step-Change Principals have led over 60 integration assignments. Case studies and client references of representative engagements can be provided upon request. Step-Change works with senior executives on their critical business initiatives to achieve large-scale operational improvements. Typically these include market repositioning, significant profit improvements, operations effectiveness/efficiency, and change of ownership issues (e.g., mergers or divestitures). The specific skill sets we bring to these assignments include: · Project management skills and expertise · Change management · Functional expertise and experience (e.g., Operations, Manufacturing, Supply Chain, Sales, IT, Support Services, Finance/Accounting) · Hands-on Implementation and results delivery ownership · Operational/financial analysis and rapid business assessments · Ability to effectively work with the client organizations at all levels in joint teams · Proven methodologies and approaches to accelerate the program and compress timeframes We bring experienced resources, a multi-disciplinary perspective (strategy, operations, technology change management) and a value delivery focus to these assignments.
